I have seen similar on many Xen versions.

If you just want to get the machine online try limiting the memory that Xen 
sess (mem=3583M on Xen command line).  I think in some cases I have also 
had to add acpi=off to Linux kernel command line as well (or it may have 
been on Xen command line).
